RESIGNATION OF DIRECTORS

Pasminco advised today that Messrs Mark Rayner, Geoff Allen and Andrew Guy had resigned as directors of Pasminco Limited.

Pasminco Limited was placed into voluntary administration on 19 September 2001 and all powers of the directors were transferred to the Administrators, Messrs John Spark and Peter McCluskey of Ferrier Hodgson at that time. At the request of the administrators the directors agreed to remain in office until March 2003 to facilitate the administration. Through that period the directors have worked co-operatively with the administrators and at their own initiative waived any entitlement to receive fees or other compensation from the company from the time it entered administration.
